1. ACCEPTANCE OF TERMS

By accessing or using Juan Deal (“Marketplace,” “we,” “us,” or “our”), you (“Customer,” “User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional terms that may apply to specific services.

2. DESCRIPTION OF SERVICE

2.1 Marketplace Overview

Juan Deal is a multivendor ecommerce marketplace that connects customers with independent vendors selling various products and services.

2.2 Marketplace Role

• • We provide the technology platform that facilitates transactions
  • We do not manufacture, store, or directly sell products
  • Individual vendors are responsible for their products and services
  • We facilitate communication and payment processing between customers and vendors

3. USER ACCOUNTS

3.1 Account Registration

• • You must provide accurate and complete information during registration
  • You must be at least 18 years old to create an account
  • You are responsible for maintaining account security and confidentiality
  • One person may maintain only one account

3.2 Account Responsibilities

• • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access
  • You must maintain current and accurate account information
  • You may not share your account credentials with others

4. PROHIBITED USES

You may not use the Marketplace to:

• • Violate any applicable laws or regulations

4.2 Platform Abuse

4.3 Harmful Content

• • Upload malware, viruses, or malicious code
  • Post threatening, harassing, or discriminatory content
  • Share spam, unsolicited communications, or promotional content
  • Violate intellectual property rights

5. PURCHASES AND PAYMENTS

5.1 Product Information

• • Product descriptions, prices, and availability are provided by individual vendors
  • We do not guarantee the accuracy of vendor-provided information
  • Prices may change without notice until purchase completion
  • Product availability is subject to vendor inventory

5.2 Order Process

• • Orders are contracts between you and the individual vendor
  • We facilitate the transaction but are not a party to the sale
  • Order confirmation does not guarantee product availability
  • Vendors may cancel orders in accordance with their policies

5.3 Payment Processing

• • We process payments on behalf of vendors using secure payment services
  • You authorize us to charge your selected payment method
  • Payment processing fees may apply
  • We may pre-authorize charges before final processing

5.4 Taxes

• • You are responsible for all applicable taxes
  • Tax calculations are estimates and may not reflect final amounts
  • International customers are responsible for customs duties and fees

6. SHIPPING AND DELIVERY

• • Individual vendors are responsible for shipping and delivery
  • Shipping times and methods vary by vendor
  • Shipping costs are determined by each vendor
  • Risk of loss transfers upon delivery to the carrier

6.2 Delivery Issues

  • We may assist with communication but cannot guarantee resolution
  • Delivery times are estimates and not guaranteed
  • Weather and other factors may cause delays

7. RETURNS AND REFUNDS

7.1 Vendor Policies

• • Each vendor sets their own return and refund policies
  • Return policies are displayed on product pages
  • Return procedures and timeframes vary by vendor
  • You must comply with vendor-specific return requirements

7.2 Marketplace Assistance

• • We may facilitate communication regarding returns
  • We may process refunds on behalf of vendors
  • Disputed transactions may be subject to our dispute resolution process
  • Refund processing times vary by payment method

8. REVIEWS AND RATINGS

8.1 Review Guidelines

• • Reviews must be based on actual purchase experience
  • Reviews should be honest, accurate, and relevant
  • Reviews may not contain offensive, discriminatory, or illegal content
  • Reviews may not include personal information or spam

8.2 Review Management

9. INTELLECTUAL PROPERTY

  • You may not copy, reproduce, or distribute marketplace content without permission
  • Our trademarks and logos are our exclusive property
  • User-generated content is governed by our content policy

9.2 User Content

• • You retain ownership of content you submit
  • You grant us a license to use your content for marketplace operations
  • You represent that your content does not infringe third-party rights
  • We may remove content that violates our policies

10. PRIVACY AND DATA PROTECTION

11. LIMITATION OF LIABILITY

  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
  • WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE
  • WE ARE NOT RESPONSIBLE FOR VENDOR ACTIONS OR PRODUCTS

11.2 Liability Limits

• • OUR TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • WE ARE NOT LIABLE FOR LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • SOME JURISDICTIONS DO NOT ALLOW LIABILITY LIMITATIONS

11.3 Third-Party Liability

• • We are not liable for vendor actions or omissions
  • We are not liable for third-party services or content
  • We are not liable for payment processor errors or failures
  • We are not liable for shipping carrier issues

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Marketplace, its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• • Your breach of these Terms
  • Your use of the marketplace
  • Your violation of any law or third-party rights
  • Your content or activities on the marketplace
  • Claims related to your purchases or interactions with vendors

13. DISPUTE RESOLUTION

13.1 Customer Service

• • Contact our customer service team first for any issues
  • We will make reasonable efforts to resolve disputes informally
  • Vendor disputes should initially be addressed with the vendor directly

13.2 Binding Arbitration

• • Any legal disputes shall be resolved through binding arbitration
  • Arbitration will be conducted by competent arbitration service appointed by the court
  • Arbitration will take place in Riyadh, Saudi Arabia
  • You waive any right to jury trial

13.3 Class Action Waiver

• • You waive any right to participate in class action lawsuits
  • All disputes must be brought individually
  • This waiver applies to all claims and disputes

14. GOVERNING LAW

These Terms are governed by the laws of Saudi Arabia, without regard to conflict of law principles.

15. TERMINATION

15.1 Termination by You

• • You may terminate your account at any time
  • Outstanding orders remain subject to vendor terms
  • Some provisions survive termination

15.2 Termination by Marketplace

• • We may suspend or terminate accounts for Terms violations
  • We may terminate accounts with reasonable notice for any reason
  • Upon termination, your access to the marketplace will cease

16. CHANGES TO TERMS

16.1 Modifications

• • We reserve the right to modify these Terms at any time
  • Changes will be posted on the marketplace with an updated date
  • Continued use after changes constitutes acceptance
  • Material changes may be communicated via email

17. GENERAL PROVISIONS

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the marketplace.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

17.3 Assignment

You may not assign these Terms. We may assign these Terms at any time without notice.

17.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

17.5 Waiver

Our failure to enforce any provision does not constitute a waiver of future enforcement.
